Welcome to HealthSurely. These Terms and Conditions ("Terms") govern your access to and use of the HealthSurely website, mobile applications, and all related services (collectively, the "Services") provided by HealthSurely Technologies Private Limited ("HealthSurely," "we," "us," or "our").

When you create an account with HealthSurely, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Your Responsibilities

• Create a strong, unique password that you do not use for other online accounts.
• Keep your login credentials confidential and do not share them with others.
• Notify us immediately at security@healthsurely.com if you suspect any unauthorized access to your account.
• Log out of your account after each session, especially on shared devices.
• Regularly review your account activity for any unauthorized actions.

• 256-bit end-to-end encryption for all data transmission.
• Secure storage of health records in FHIR R5-compliant systems.
• Multi-factor authentication options for enhanced security.
• Regular security audits and penetration testing.

We are not liable for any loss or damage arising from your failure to comply with the security obligations set forth in this section.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services in any way that violates any applicable local, state, national, or international law or regulation.
• Transmit any material that is unlawful, defamatory, harassing, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks.
• Use any robot, spider, scraper, or other automated means to access the Services for any purpose.

• Use the Services for any commercial solicitation purposes without our prior written consent.

You own your health data. We act as a custodian and processor of your information. All health records are encrypted both in transit and at rest using 256-bit encryption. We do not sell your personal health information to third parties.

By accepting these Terms and creating an account, you consent and agree to receive communications from HealthSurely electronically via our website, mobile applications, email, or SMS text message. These communications may include health alerts, account communications, service updates, appointment reminders, and promotional communications.

9. User Submissions & Content

Our Services allow you to upload, submit, store, and share content, including lab reports, health documents, and other materials ("User Content"). You retain ownership of all User Content you submit. By uploading User Content, you grant HealthSurely a non-exclusive, royalty-free, worldwide license to store, process, and analyze your content to provide our Services.

The Services and all content, features, and functionality thereof are owned by HealthSurely, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are permitted to use the Services for your personal, non-commercial use only.

Restrictions

You agree not to:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
• Access or use for any commercial purposes any part of the Services or any services or materials available through the Services.

"HealthSurely," the HealthSurely logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HealthSurely or its affiliates. You may not use such marks without our prior written permission.

We have no control over, and assume no responsibility for:

• Any damage or loss caused or alleged to be caused by or in connection with use of any such content, goods, or services available on or through any such websites or services.

To the fullest extent permitted by applicable law, HealthSurely disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Warranties regarding the accuracy, reliability, timeliness, or completeness of any content, including AI-generated health insights.
• Warranties that the Services will meet your specific requirements or expectations.

Any references to specific products, services, or health information on our platform do not constitute or imply a recommendation or endorsement by HealthSurely unless specifically stated otherwise.

Your use of the Services is voluntary and at your own risk. You assume full responsibility for any decisions or actions you take based on information provided through our Services.

13. Service Termination

Termination by You

You may terminate your account at any time by contacting us at support@healthsurely.com or through the account settings in your profile. Upon termination:

• Your right to access and use the Services will immediately cease.
• You may request a copy of your data before termination.
• We will delete your personal data in accordance with our data retention policy and applicable law.

Termination by HealthSurely

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Reasons for termination may include:

• Violation of these Terms or any applicable laws.
• Fraudulent, abusive, or illegal activity.
• Non-payment of any fees owed (for premium services).
• Extended periods of inactivity (accounts inactive for more than 24 months may be subject to termination).
• Upon request by law enforcement or government agencies.

Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

• Any content obtained from the Services.

In no event shall our total liability to you for all claims exceed the amount you paid to us, if any, for the use of the Services during the twelve (12) months prior to the claim.

You agree to defend, indemnify, and hold harmless HealthSurely, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services.

• Your violation of any applicable laws, rules, or regulations.
• Any content you submit to the Services.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any controversy or claim arising out of or relating to these Terms shall be settled exclusively by the courts located in Austin, Texas, United States, and you consent to the personal jurisdiction of such courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
